Terms of Use

These terms govern the Lenduh platform — the office portal, Lenduh Field (formerly the collector app), member portal, developer API and this website — provided by Codero Digital Labs Services OPC. By creating an account or using any part of Lenduh, you agree to them.

In short

  • Lenduh is software. We do not lend money, and we never hold or move your borrowers' or members' funds.
  • You own your data. We process it only to run the service for you, and you can export it at any time.
  • Subscriptions are billed in advance and renew automatically until you cancel. See the Cancellation & Refund Policy.
  • You are responsible for lending lawfully — consent, KYC, AMLA, CDA and BSP obligations rest with you.
  • Philippine law governs; disputes go to the courts of Makati City.

01Who these terms are between

These Terms of Use (“Terms”) are an agreement between Codero Digital Labs Services OPC (“Codero”, “we”, “us”), a One Person Corporation registered with the Philippine Securities and Exchange Commission under Registration No. 2026060252881-48, and you.

“You” means whoever is using Lenduh:

  • a Customer — the cooperative, lending company or microfinance institution that subscribes to Lenduh;
  • an Authorised User — a person the Customer gives an account to, such as an administrator, bookkeeper, branch manager or field officer;
  • a Member User — a cooperative member or borrower using the member portal or a payment link;
  • a Visitor — anyone browsing lenduh.com.

Where a Customer has signed a separate subscription or services agreement with us, that agreement prevails over these Terms to the extent they conflict. Otherwise these Terms, together with the Privacy Policy and the Cancellation & Refund Policy, form the whole agreement.

02What Lenduh is — and what it is not

Lenduh is a software‑as‑a‑service platform for managing lending and cooperative operations: borrowers and members, loan products and schedules, payments and collections, cash and remittances, savings and share capital, accounting, and regulatory reporting.

Lenduh is a tool, not a financial institution. Specifically:

  • We do not lend money, extend credit, or act as a party to any loan recorded in the platform.
  • We do not hold, pool, remit or take custody of your borrowers' or members' funds. Payments made through the platform settle directly to the Customer through the payment service provider.
  • We do not provide legal, accounting, tax, audit or investment advice. Reports Lenduh produces — including CDA report packs, PESOS ratings and AMLA covered‑transaction reports — are prepared from the data you enter, for you to review and file. Filing remains your responsibility.
  • We do not decide who receives a loan. The platform records and enforces the rules you configure; the credit decision is always yours.

03Eligibility and accounts

To subscribe you must be a duly registered business or cooperative in the Philippines, or otherwise lawfully able to operate a lending or cooperative business, and the person accepting these Terms must be authorised to bind that organisation.

The Customer is responsible for every account it creates and for everything done under those accounts. You agree to give accurate registration details and keep them current; keep credentials confidential and not share logins between people; assign roles and branch scoping appropriate to each user's actual duties; deactivate accounts promptly when someone leaves; and tell us without undue delay at info@codero.ph if you suspect unauthorised access.

We strongly recommend enabling two‑factor authentication for all administrator accounts. Member Users sign in with one‑time codes sent to a registered email address or mobile number and are responsible for keeping that address or number current and secure.

04Subscriptions, fees and billing

Lenduh is offered on subscription plans that scale with the size of your operation. Current plan inclusions and prices are shown in‑app and during sign‑up. All fees are stated and charged in Philippine pesos (PHP) and are exclusive of value‑added tax and other applicable taxes unless stated otherwise.

  • Free trial. New Customers may start on a free trial. No fee is charged during the trial and no payment method is required. When the trial ends, the account moves to the Free plan unless a paid plan has been chosen and paid for; no charge is made automatically.
  • Billing in advance. Paid plans are billed at the start of each billing period — monthly or annually — and renew automatically until cancelled.
  • Auto‑pay and wallet. Where you enable auto‑pay or fund a prepaid wallet, you authorise us to charge the stored payment method or draw down the wallet for subscription fees and enabled add‑ons.
  • Plan changes. A plan change takes effect immediately. The new price applies from the next billing period; plan changes are not pro‑rated.
  • Usage add‑ons such as SMS credits are charged as used and are consumed on a first‑in, first‑out basis.
  • Price changes. We will give at least 30 days' notice before a price change takes effect. If you do not accept it, you may cancel before the change applies.

Late or failed payment. If a charge fails we will retry and notify you. If an invoice remains unpaid after we have given notice and a reasonable opportunity to cure, we may suspend access until it is settled. We will not delete your data solely because of non‑payment without first giving you notice and an opportunity to export.

Cancellations and refunds are governed by the Cancellation & Refund Policy, which forms part of these Terms.

05Payments processed through the platform

Online payments — both subscription fees and loan or savings payments made by your members — are processed by PayMongo, a payment service provider regulated in the Philippines, under its own terms and privacy policy.

Card, e‑wallet and bank credentials are entered on PayMongo's systems. We never receive or store full card numbers. We receive only a payment reference, amount, method, status and masked descriptor, which we use to record the payment against the correct account and issue a receipt.

Where you accept payments from your own members through Lenduh, you are the merchant of record for those transactions. You are responsible for completing PayMongo's onboarding and verification, for complying with its terms and with card network rules, for the accuracy of what you charge, and for handling your own members' refunds, disputes and chargebacks. Settlement timing and any processing fees are governed by your arrangement with PayMongo, not by us.

Digital receipts issued by Lenduh carry a QR code that can be verified on a public verification page. A receipt evidences that a payment was recorded in the platform; it is not a tax receipt or official receipt for your own regulatory purposes unless you have configured it as such and satisfied the applicable BIR requirements.

06Your data, and our role

As between us, you own all data you put into Lenduh — borrower and member records, loans, payments, documents and reports (“Customer Data”). We claim no ownership of it.

You grant us a limited, non‑exclusive licence to host, copy, transmit, display and process Customer Data solely to provide and support the service, to keep it secure, and to meet a legal obligation. We do not use Customer Data to train AI models, and we do not sell it or share it for advertising.

For personal data about your borrowers and members, you are the personal information controller and we are the personal information processor. We process it only on your documented instructions, as set out in the Privacy Policy.

You may export your data at any time while your subscription is active, using the in‑app export tools and the developer API. After termination we retain Customer Data for 60 days so you can export it, then delete or irreversibly anonymise it, save for records we must keep by law.

We may compile aggregated, de‑identified statistics about how the platform is used — performance, feature adoption, error rates — to improve the service. Such statistics never identify you, your organisation, or any borrower or member.

07Your responsibilities as a lender or cooperative

Lenduh gives you the tooling. Operating lawfully remains yours. You are responsible for:

  • Lawful basis and notice. Obtaining any consent required and giving your borrowers and members a privacy notice covering your processing, including the use of a cloud platform, the GPS stamping of field collections, and messages sent by email, SMS or Viber.
  • Regulatory standing. Holding and maintaining the registrations, licences and authorities your operation requires — SEC or CDA registration, lending or financing company authority, and any BSP requirement that applies to you.
  • Know‑your‑customer and anti‑money‑laundering. Performing customer due diligence, monitoring, and filing covered and suspicious transaction reports. Lenduh's detector is an aid, not a substitute for your own compliance programme.
  • Accuracy of what you configure. Interest methods, rates, fees, penalties, chart of accounts and approval thresholds are configured by you. Verify them before releasing loans. We are not responsible for the consequences of a misconfiguration you make.
  • Fair and lawful collection. Conducting collections lawfully and without harassment, and complying with the Financial Products and Services Consumer Protection Act and applicable SEC rules on collection practices.
  • Disclosure to borrowers. Providing the disclosure statements and documents your borrowers are entitled to under the Truth in Lending Act and other applicable law.
  • Review before filing. Checking every report Lenduh generates before submitting it to the CDA, BIR, AMLC or any other authority.

08Acceptable use

You must not, and must not permit anyone else to:

  • use Lenduh for an unlawful purpose, or to operate a business PayMongo or the card networks prohibit;
  • upload malware, or attempt to gain unauthorised access to the platform, another tenant's data, or any underlying system;
  • probe, scan or load‑test the service without our written consent, or circumvent rate limits, authentication or tenant isolation;
  • reverse‑engineer, decompile or attempt to derive source code, except to the extent that restriction is unenforceable by law;
  • resell, sublicense or provide the service to a third party as a bureau, other than to your own members and borrowers, unless we agree in writing;
  • upload personal data you have no lawful basis to process, or data belonging to another organisation without authority;
  • use the platform to send unsolicited bulk messages, or to send messages that misrepresent their origin;
  • scrape lenduh.com in violation of robots.txt, or submit unlawful content through any form.

We may investigate suspected misuse and, where the risk warrants it, suspend the account involved.

09Availability, support and changes

We aim to keep Lenduh continuously available, but we do not guarantee uninterrupted or error‑free operation. Access may be affected by planned maintenance, which we schedule outside Philippine business hours and announce in advance where practicable; emergency maintenance and security patching; and events beyond our reasonable control, including failures of connectivity, hosting or payment providers.

Support is provided by email and a shared support channel during Philippine business hours, Monday to Friday, with a target first response within 1–2 business days. Any different service level agreed in a separate subscription agreement prevails.

We develop the platform continuously and may add, change or remove features. We will not materially reduce core functionality you rely on without reasonable notice. Deprecations of the developer API and webhook events will be announced with a reasonable migration period.

10Intellectual property

Lenduh, its software, interfaces, documentation, and the Lenduh and Codero names and logos are owned by Codero and protected by intellectual property law. Subject to these Terms and payment of the applicable fees, we grant the Customer a non‑exclusive, non‑transferable, revocable right to use the platform during the subscription term for its own internal business purposes.

Nothing in these Terms transfers ownership of the platform to you, or ownership of Customer Data to us. White‑label branding, where included in your plan, lets you present the app under your own name and logo; it does not transfer any right in the underlying software.

If you send us feedback or suggestions, you allow us to use them without restriction or obligation to you.

11Third-party services

Lenduh integrates with third‑party services — payment processing, email, SMS, messaging, push notification, identity providers and AI processing — as described in the Privacy Policy. Those services operate under their own terms. We select them carefully and bind them contractually, but we are not responsible for their acts or omissions, and an outage at a provider may affect the corresponding feature.

Where you connect your own systems via our developer API, webhooks or single sign‑on, you are responsible for the security of your keys, endpoints and identity configuration.

12Confidentiality

Each of us may receive information from the other that is marked confidential or that a reasonable person would understand to be confidential. Each will use the other's confidential information only to perform this agreement, protect it with at least reasonable care, and not disclose it except to personnel and advisers who need it and are bound by comparable obligations.

These duties do not apply to information that is or becomes public without breach, was already lawfully known, is independently developed, or must be disclosed by law — in which case the disclosing party will give notice where it lawfully can.

13Warranties and disclaimers

We warrant that we will provide the service with reasonable skill and care, in a manner consistent with generally accepted industry practice.

Except as expressly stated, and to the fullest extent permitted by law, the platform is provided “as is” and “as available”, and we disclaim all other warranties, whether express, implied or statutory, including merchantability, fitness for a particular purpose and non‑infringement.

In particular we do not warrant that the service will be uninterrupted or error‑free; that reports it generates will be accepted by any regulator, since acceptance depends on the accuracy and completeness of what you enter; that computed figures will match a third party's calculation where different conventions have been chosen; or that it will detect every suspicious transaction.

Nothing here limits rights you have under the Consumer Act or other Philippine law that cannot be excluded by agreement.

14Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill, or anticipated savings, even if advised of the possibility.

Our total aggregate liability arising out of or relating to this agreement, whether in contract, tort or otherwise, is limited to the subscription fees you paid us in the twelve (12) months immediately preceding the event giving rise to the claim.

These limits do not apply to liability that cannot be limited under Philippine law. In particular they do not cover fraud or bad faith — any waiver of an action for future fraud is void under Article 1171 of the Civil Code — nor wilful misconduct, gross negligence, or death or personal injury caused by negligence. If a court finds any part of this section unenforceable, the remainder continues to apply to the fullest extent the law allows.

You acknowledge that the fees reflect this allocation of risk, and that you are responsible for maintaining your own records, reviewing platform output before relying on it, and holding appropriate insurance for your lending operations.

15Indemnity

You will indemnify and hold us harmless against third‑party claims, and reasonable costs and legal fees arising from them, to the extent they arise from your use of the platform in breach of these Terms; from Customer Data you upload, including any claim that you lacked a lawful basis to process it; from your lending, collection or cooperative operations; or from your failure to meet a regulatory obligation that is yours.

We will indemnify you against a third‑party claim that the platform, used as permitted, infringes a Philippine intellectual property right — provided you notify us promptly, let us control the defence, and cooperate reasonably.

16Suspension and termination

You may terminate at any time as described in the Cancellation & Refund Policy.

We may suspend or terminate where you materially breach these Terms and do not cure it within 15 days of notice; where fees remain unpaid after notice and a reasonable chance to cure; where continued operation would breach the law or expose us or other customers to serious risk; or immediately where there is active security abuse or unlawful use. Except where the risk requires immediate action, we will give notice first and a chance to put things right.

On termination, access ends, accrued fees remain payable, and you have 60 days to export your data before deletion. Sections on data ownership, confidentiality, intellectual property, disclaimers, liability, indemnity and governing law survive.

17Changes to these Terms

We may update these Terms as the platform and the law change. For material changes we will give at least 30 days' notice by email or in‑app before they take effect. Continuing to use Lenduh after that date means you accept the updated Terms; if you do not, you may cancel before they apply. The “Last updated” date above always shows the current version.

18Governing law and disputes

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict‑of‑laws rules.

If a dispute arises, we ask that you raise it with us first at info@codero.ph so we can try to resolve it in good faith within 30 days. Any dispute not resolved that way is subject to the exclusive jurisdiction of the competent courts of Makati City, Metro Manila, without prejudice to any right you have to bring a complaint before a Philippine regulator or consumer authority.

If any provision is held unenforceable, the rest remains in force and the provision is applied to the maximum extent permitted.
